Annex A
Integrated User Level Data
If Company orders the VIZIO Integrated User Level Data (“VIZIO IULD”) Company’s use of VIZIO IULD is governed by the Agreement and subject to the terms and conditions set forth in this Integrated User Level Data Annex (the “Annex”). In the event of a conflict between the terms of the Agreement and this Annex, the terms of this Annex shall control.
1. VIZIO IULD Terms. By using the VIZIO IULD, Company agrees to be bound to the terms of the Data Authorization Agreement for iSpot Customers provided by VIZIO located at www.inscape.tv/ispot (the “DAA”), which are incorporated herein by reference. The DAA and the Agreement governs the use of the VIZIO IULD.
2. Restrictions. If Company orders VIZIO IULD Company must:
2.1. store IP Addresses and Mobile Device IDs (MAIDs, UDIDs, IDFA and AAID) securely at rest using an industry-standard AES-256 encryption algorithm,
2.2. delete the VIZIO IULD upon expiration or termination of the applicable Order,
2.3. not share the VIZIO IULD data with any third-party service providers not approved in writing by iSpot.
3. Company is obligated by a written agreement to protect the confidentiality and security of the VIZIO IULD on terms that are no less restrictive than those contained in the Agreement (inclusive of the DAA).
4. Company is prohibited from using the VIZIO IULD for any purpose other than providing services to the Company as permitted under the Agreement.
5. In the event Company shares the VIZIO IULD with a third-party service provider, Company is fully responsible and liable for any act or omission of its third party service providers.
6. Notwithstanding the terms in the Agreement, Company may not assign the Agreement to a direct competitor of iSpot or VIZIO, and the assignee must remain the sole licensee of the VIZIO IULD after the assignment occurs.
